EasyQBR Terms of Service

1. What these terms cover

These terms govern your use of the EasyQBR service (the "Service"): the web application at portal.easyqbr.com, the reports it produces, and any related support. By creating an organization on the Service or accepting an invitation to one, you agree to these terms on behalf of the organization you represent (the "Customer", "you"). If you do not have authority to bind that organization, do not use the Service.

2. What the Service is

EasyQBR produces quarterly business review reports and internal technical gap analyses for managed service providers, by reading data from the vendor systems you already use and assembling it into documents you present to your own clients. The Service is a tool for preparing documents. It is not a monitoring, alerting, ticketing or backup service, and it does not replace any of the vendor systems it reads from.

3. Your account and your people

3.1 An organization is created for you by EasyQBR. Membership in an organization comes only from an invitation that a person accepts. We never infer that a person belongs to an organization from their e-mail address or its domain, and we never join organizations on that basis.

3.2 You are responsible for the people you invite, for the roles you give them, and for what they do with the Service. Every account must be protected by multi-factor authentication; the Service will not operate for an account that has not set it up.

3.3 Keep your recovery codes somewhere safe. If a person loses access to their authenticator and their recovery codes, an administrator or EasyQBR support can reset their second factor after confirming their identity; we cannot restore the original.

4. Vendor connections

4.1 To read data, you supply credentials for your vendor systems. You warrant that you are entitled to give us that access and that using it as described here does not breach your agreements with those vendors or with your clients.

4.2 We only read. Every vendor connection the Service makes is read-only by design. The Service does not create, modify or delete records in your vendor systems, and does not execute actions on your endpoints.

4.3 We do not read ticket contents. For service desk systems, the Service reads counts, dates, statuses and categories. It never retrieves ticket titles, descriptions or notes.

4.4 Credentials you supply are stored encrypted, under a key that belongs to your organization alone, and are used only to read data on your behalf. We never display a stored credential back to anyone.

5. Reports and the figures in them

5.1 Every figure in a report is computed by ordinary program logic from the data your vendors returned. Language-model output is used only to write prose about figures already computed, and is never permitted to produce a number, a name or a finding of its own.

5.2 You review before you present. A report is prepared for your review. Vendor data can be incomplete, stale or wrong, and the Service reports what it was given. You are responsible for checking a report before you present it to your client and for anything you present.

5.3 Where the Service could not read a source, it says so in the report rather than showing a clean result. A report that says a section was not measured is working as intended.

5.4 The internal technical gap analysis is prepared for your technical staff and is marked as internal. It lists coverage gaps and configuration findings without judging whether they are deliberate; that judgement is yours.

6. Your data and your clients' data

6.1 You own the data you connect and the reports the Service produces from it. We claim no rights in either beyond what is needed to operate the Service for you.

6.2 Your clients' data reaches the Service only because you connected the vendor systems that hold it. You are responsible for having the right to process that data through the Service and for your obligations to your clients under any regulatory regime that applies to them.

6.3 Data is isolated between organizations at the database level. No organization can read another organization's data through the Service.

6.4 Support access. EasyQBR staff can enter your organization to support you. Every such entry is recorded with who entered and when, and we will show you that record on request. We do not notify you at the time of each entry.

6.5 We use your data to operate the Service and for nothing else. We do not sell it, share it with advertisers, or use it to train models.

7. Deleting an organization

When an organization is deleted, its connected data, credentials, reports, people and their personal details are destroyed. We retain only what is needed for billing and audit: the organization's name, address and telephone number, the record of who agreed to these terms, and the audit of what EasyQBR did to the organization. An organization's account number is never reissued.

8. Fees

The Service is currently provided without charge to organizations taking part in our early-access program. Before any fees apply to you, we will tell you the price, the billing period and the payment terms in writing, and you may stop using the Service instead of accepting them.

9. Acceptable use

You will not use the Service to access systems you are not entitled to access, to interfere with the Service or its other customers, to reverse-engineer it, or to present reports as something other than your own review of your client's environment. We may suspend an organization that breaches these terms; suspension stops all activity in the organization and destroys nothing.

10. Availability and support

The Service is provided as it stands. We aim for it to be available and correct and we will tell you when it is not, but we do not promise uninterrupted availability. Support is provided at support@easyqbr.com.

11. Warranties and liability

11.1 To the extent the law allows, the Service is provided without warranties of any kind, express or implied, including fitness for a particular purpose. In particular, we do not warrant that any figure in a report is accurate; figures depend on the data your vendors return.

11.2 To the extent the law allows, our total liability to you arising from the Service in any twelve-month period is limited to the fees you paid us in that period, and neither of us is liable to the other for indirect, consequential or special losses, including loss of business or of a client relationship.

11.3 Nothing in these terms limits liability that cannot be limited by law.

12. Changes

We may change these terms. We will give at least 30 days' notice of a material change by e-mail to your organization's administrators. Continued use after that date is acceptance.

13. Termination

You may stop using the Service and ask for your organization to be deleted at any time. We may end your access for a material breach that is not cured within 30 days of notice, or immediately for a breach of section 9. Sections 6, 7 and 11 survive termination.

14. Governing law

These terms are governed by the laws of the State of Georgia, and the courts of Fulton County, Georgia have exclusive jurisdiction, except that either of us may seek an injunction anywhere to protect confidential information.
